Terms of Use
These Terms of Use (“Terms”) are a legal agreement between you and codedparagon, LLC (“codedparagon,” “we,” “us,” or “our”), a North Carolina limited liability company, and govern your use of the iMentality mobile application (“iMentality” or the “App”) and any related services we provide.
1. About iMentality
iMentality is a personal, private workplace check-in journal. It lets you log entries about your workday, tag the people and conditions that influence you, and review your patterns over time. It is a self-reflection and journaling tool — it is not a medical device, diagnostic tool, or health-care service, and it is not a workplace, HR, compliance, or investigative tool (see Section 10).
2. Eligibility
You must be 17 years of age or older to use iMentality, consistent with its App Store age rating. By using the App you represent that you meet this age requirement and have the legal capacity to enter into these Terms.
If you are using the App on behalf of an organization, you represent that you are authorized to bind that organization. iMentality is, however, designed for personal use; it is not licensed for use as part of an employer’s health-and-wellness program or to evaluate employees. See Section 10 for additional restrictions.
3. Your account and Sign in with Apple
You may use the App anonymously without signing in. If you choose Sign in with Apple, you authorize us to receive your Apple-provided user identifier (and any name/email you choose to share) for the limited purpose of recognizing you across sessions and devices. Our handling of that information is described in our Privacy Policy.
You are responsible for activity that occurs under your Apple ID. If you believe your Apple ID has been compromised, contact Apple Support.
4. License to use the App
Subject to your compliance with these Terms, codedparagon grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of iMentality on Apple devices that you own or control, solely for your own personal, non-commercial use.
You agree not to:
- Copy, modify, reverse-engineer, decompile, or create derivative works of the App except to the extent applicable law prohibits this restriction;
- Rent, lease, lend, sell, redistribute, or sublicense the App;
- Use the App to violate any law or the rights of any third party;
- Attempt to extract Apple-provided StoreKit receipts, subscription tokens, or other materials in a way that would circumvent Apple’s payment systems;
- Use the App to evaluate, monitor, or report on the mental health or workplace conduct of any person other than yourself.
The App is licensed, not sold, to you. All rights not expressly granted in these Terms are reserved.
5. Subscriptions, free trials, and auto-renewal
iMentality offers in-app purchases through Apple’s App Store. As of the effective date of these Terms, the available purchases are:

Prices may vary by region and may change in the future. The current price, billing period, and any trial offer are always shown on the App’s paywall before you confirm a purchase. Apple converts prices to your local currency at the rate Apple uses.
5.1 Apple-required auto-renewal terms
The following terms apply to all auto-renewing subscriptions and match the disclosures shown to you in the App at the time of purchase:
- Payment will be charged to your Apple ID account at confirmation of purchase.
- Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
- Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period, at the renewal price disclosed at the time of purchase (or the most recent renewal price for ongoing renewals).
- Subscriptions may be managed, and auto-renewal turned off, by going to your Apple ID Account Settings after purchase.
- Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription to that publication, where applicable.
5.2 Free trial
When a free trial is offered, you may use premium features for the trial period at no charge. To avoid being charged, you must turn off auto-renew at least 24 hours before the end of the trial. If you cancel after a charge has been processed, you keep access until the end of the paid period and are not charged again.
5.3 Lifetime purchase
A “Lifetime” purchase is a one-time, non-consumable in-app purchase that unlocks premium features on Apple IDs associated with the purchase, subject to Apple’s standard rules for non-consumable purchases. “Lifetime” means the lifetime of the App as offered by codedparagon and Apple’s continued support of the relevant App Store and StoreKit infrastructure. We are not obligated to provide the App indefinitely; see Section 13.
5.4 Refunds
Refunds for App Store purchases — including iMentality subscriptions and the Lifetime purchase — are handled by Apple under Apple’s standard refund policy, not by codedparagon. You may request a refund through reportaproblem.apple.com or your Apple ID account settings. We do not have the ability to issue or guarantee refunds for App Store transactions.
5.5 Price changes
If we change a subscription price, Apple will give you notice and (where required) the opportunity to consent to the new price before it takes effect. If you do not consent, your subscription will not renew at the new price.
6. Premium and free features
Some features of the App are offered free of charge; others require an active subscription or the Lifetime purchase. We may move features between free and premium tiers over time. We will not retroactively remove access to a feature you have already paid for during a paid period or for the duration of a valid Lifetime purchase.
7. Your content
You retain all rights to the journal entries, notes, names, and other content you create inside the App (“Your Content”). codedparagon does not claim ownership of Your Content.
Because Your Content stays on your device and in your iCloud account, and is not transmitted to codedparagon, we do not grant ourselves any license to your journal data. We do not need one — we never receive it.
You are solely responsible for Your Content, including any references to other people. You are responsible for any disclosure of names or facts you choose to include in reports you export or share. Additional provisions about references to other people are set out in Section 10.4.
8. Acceptable use
You agree not to use iMentality to:
- Harass, defame, or threaten any person, including in journal entries that you then share with third parties;
- Store or share information about other people in a way that violates applicable privacy, employment, or labor-relations laws in your jurisdiction;
- Attempt to interfere with the operation of the App or the security of any user’s data;
- Use the App in any way that violates these Terms or applicable law.
We may suspend or terminate your access to the App if you violate these Terms (see Section 13).
9. Medical, safety, and crisis disclaimer
The “Workplace Score” and any other scores, summaries, charts, or insights produced by the App are based on the self-reported information you enter and the App’s internal scoring logic. They are not clinical assessments. They are not designed or validated for clinical decision-making and should not be used as such.
Do not rely on iMentality for medical advice, diagnosis, or treatment. Always seek the advice of a qualified health-care professional with any questions you may have regarding a medical or mental-health condition.
- United States: Call or text 988 (Suicide & Crisis Lifeline), or call 911.
- International: A list of crisis lines is maintained by Find A Helpline.
- Anywhere: Go to the nearest emergency department or contact your local emergency number.
codedparagon is not a health-care provider and does not provide emergency services. The App is not designed to detect, respond to, or escalate emergencies of any kind.
10. Workplace, employment, HR, and third-party use
iMentality is a personal journaling and self-reflection tool. The following provisions clarify that the App is not intended for, and codedparagon is not liable for, any workplace, employment, human-resources, legal, investigative, or third-party-evaluation use.
10.1 Personal, single-user license
The license granted in Section 4 is to you personally, not to your employer or to any organization. Even if your employer offers, encourages, recommends, or mandates your use of the App, your account and Your Content remain personal to you. Your employer has no rights to your account, no visibility into Your Content through us, and is not a party to these Terms.
If your employer requires or pressures you to use the App as a condition of employment, that arrangement is between you and your employer. codedparagon does not enter into agreements with employers regarding employee use of iMentality and offers no enterprise, administrative, manager-facing, or employer-facing version of the App.
10.2 The App is not a workplace, HR, or compliance tool
iMentality is not designed for, marketed as, certified for, or warranted to function as:
- An employee monitoring or surveillance system;
- A human-resources case-management or investigation system;
- A workplace harassment, discrimination, retaliation, or hostile-environment evidence tool;
- A compliance, audit, recordkeeping, or regulatory-reporting system, including under OSHA, FLSA, FMLA, ADA, Title VII, NLRA, GDPR, HIPAA, or any analogous law;
- An employee assistance program (EAP), behavioral-health benefit, or insurance-billable service;
- A wage-and-hour, timekeeping, or payroll record;
- An expert-witness aid, forensic-analysis tool, or court-admissible recordkeeping system.
The Workplace Score and other outputs of the App are personal self-reflection indicators. They are not validated metrics of any workplace condition, employee performance, employer conduct, or compliance with employment, labor, or health-and-safety law.
10.3 Reports are not evidence
PDF reports, summaries, and other exports the App produces are computed locally on your device from your own self-reported entries. codedparagon does not:
- Witness, certify, authenticate, notarize, or otherwise vouch for the content of any entry or report;
- Maintain a chain of custody for entries or reports;
- Guarantee that entry timestamps reflect any particular act or event in the world, or that they have not been altered by changes to your device clock, time zone, or local data;
- Hold itself out as a custodian of records under any rule of evidence;
- Provide expert opinion, certification, or testimony regarding any entry, report, score, or pattern.
You should not rely on iMentality reports as legal evidence, formal documentation of workplace conditions, or proof of any fact. If you intend to pursue an HR complaint, grievance, legal claim, regulatory complaint, insurance claim, or similar action, consult an attorney or appropriate authority and use evidence-gathering methods appropriate for that purpose. Any decision to share, submit, file, or rely on a report for such purposes is yours alone, and the legal weight (if any) given to such a report is determined by the recipient, tribunal, or process — not by codedparagon.
10.4 Information about other people
Your Content may reference coworkers, supervisors, subordinates, clients, patients, students, family members, or other third parties (“Referenced Persons”). Referenced Persons have not consented, through codedparagon, to be named, characterized, scored, or evaluated in Your Content, and codedparagon owes no duty to any Referenced Person.
You are solely responsible for:
- The accuracy, fairness, and lawfulness of any reference you make to a Referenced Person;
- Any claim a Referenced Person may bring against you for defamation, libel, slander, false light, invasion of privacy, public disclosure of private facts, intentional infliction of emotional distress, intentional interference with a contractual or business relationship, or any other cause of action arising from Your Content;
- Compliance with applicable employment, privacy, labor-relations, professional-ethics, education-records, health-information, and consumer-protection laws in your jurisdiction with respect to recordkeeping about other people, including without limitation any obligations you have under HIPAA, FERPA, or applicable state or international privacy law if you are a professional whose work brings you within such laws.
You agree to defend, indemnify, and hold harmless codedparagon from any claim brought by a Referenced Person arising out of Your Content, on the terms set out in Section 14 and to the maximum extent permitted by applicable law.
10.5 Requests from employers, HR, opposing counsel, or investigators
codedparagon will not voluntarily respond to inquiries from your employer, your employer’s representatives, HR departments, opposing counsel, private investigators, insurers, internal-affairs offices, or other third parties about your account, Your Content, or your use of the App.
In any event, we hold almost no information about you and have no copy of Your Content (see Privacy Policy, Sections 3 and 4). We will respond to legally valid process (such as a subpoena, court order, or warrant issued by a court of competent jurisdiction) only to the extent legally required, and we reserve the right to object, move to quash, or notify you, except where prohibited by law.
If you are served with process seeking your iMentality content, that content is in your possession (on your device and your personal iCloud account), not ours, and your obligations with respect to it are between you and the party issuing process. You should not represent to any tribunal that codedparagon holds Your Content, because we do not.
10.6 Protected activity and required reporting
Nothing in these Terms is intended to limit your rights under applicable law to:
- Report illegal activity to a government agency, including without limitation the U.S. Equal Employment Opportunity Commission, the National Labor Relations Board, the Department of Labor, the Securities and Exchange Commission, or analogous state, foreign, or international bodies;
- File a charge of discrimination, file a workers’ compensation claim, or otherwise engage in legally protected activity;
- Discuss your wages, hours, or working conditions with co-workers or with a labor organization, where such discussion is protected under applicable labor-relations law.
iMentality is a personal journal — not a reporting channel, not a substitute for any required notice, complaint, or report to your employer, a government agency, a professional licensing body, or any other authority. Use of the App does not satisfy any such legal obligation, and failure of the App to function does not excuse any such obligation.
10.7 Mandated reporters
If you are a mandated reporter under applicable law (for example, a licensed health-care professional, social worker, teacher, clergy member, or other category required by your jurisdiction to report suspected abuse, neglect, threats of harm, or other matters), iMentality does not, and is not designed to, satisfy any such reporting obligation. Entering information into the App is not equivalent to filing a report with the responsible authority.
11. Disclaimer of warranties
To the maximum extent permitted by applicable law, the App is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. codedparagon expressly disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted or error-free operation.
We do not warrant that the App will meet your requirements, that the App will be compatible with any particular device or future version of iOS, that any data you enter will be permanently retained, or that any score, insight, or report produced by the App will be accurate, complete, or suitable for any particular purpose.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by law.
12. Limitation of liability
To the maximum extent permitted by applicable law, in no event will codedparagon, its members, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, business, goodwill, employment, reputation, or other intangible losses, arising out of or related to your use of (or inability to use) the App, even if codedparagon has been advised of the possibility of such damages.
codedparagon’s total aggregate liability arising out of or related to these Terms or the App will not exceed the greater of (a) the amount you paid to Apple for the App and any in-app purchases in the twelve (12) months preceding the event giving rise to the liability, or (b) U.S. $50.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Changes to the App; termination
We may modify, update, suspend, or discontinue the App, or any feature of it, at any time. Where reasonable and where required, we will give you notice through the App or the App Store.
These Terms remain in effect until terminated. You may terminate them at any time by uninstalling the App and discontinuing use. We may terminate or suspend your access if you materially breach these Terms or if continued operation of the App becomes impractical (for example, if Apple discontinues a required platform feature). Sections 7 (Your Content), 9 (Medical disclaimer), 10 (Workplace, employment, HR, and third-party use), 11 (Warranties), 12 (Limitation of liability), 14 (Indemnification), 15 (Governing law), and 17 (Miscellaneous) survive termination.
If you have an active subscription at the time of termination, your access continues until the end of the current paid period, except where termination is for your material breach of these Terms.
14. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless codedparagon and its members, officers, employees, and contractors from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising out of (a) your violation of these Terms, (b) your misuse of the App, (c) Your Content, including any claim brought by a Referenced Person, or (d) your violation of any law or the rights of any third party in connection with your use of the App.
15. Governing law and dispute resolution
These Terms and any dispute arising out of or related to them or the App are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You agree that the exclusive venue for any dispute arising out of or related to these Terms or the App will be the state or federal courts located in Mecklenburg County, North Carolina, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking equitable relief (such as an injunction) in a court of competent jurisdiction.
If you live in a jurisdiction where applicable consumer-protection law gives you the right to bring proceedings in your local courts or under your local law, this section does not override that right.
16. Apple App Store terms
These Terms are between you and codedparagon, not between you and Apple. Apple is not responsible for the App or its content. To the extent these Terms and the Apple App Store Terms of Service conflict, the Apple App Store Terms of Service govern with respect to your relationship with Apple.
You acknowledge that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms and have the right to enforce them against you as a third-party beneficiary.
17. Miscellaneous
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and codedparagon regarding the App and supersede any prior agreement on the same subject matter.
- No waiver. Our failure to enforce any right or provision of these Terms will not be a waiver of that right or provision.
- Severability. If any part of these Terms is found unenforceable, the remaining parts continue in effect.
- Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets.
- Headings. Section headings are for convenience only and do not affect interpretation.
18. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will update the “Last updated” date above and, where appropriate, give you notice through the App. Your continued use of the App after the change takes effect indicates acceptance of the updated Terms.
